Unilever mixes it with McCormick – and it’s official

What was once unthinkable has now become reality: Unilever has formally agreed to combine its Foods business with McCormick, creating a $20bn‑revenue global flavour powerhouse that brings Hellmann’s, Knorr, McCormick, Frank’s, Cholula and Maille under one roof. The deal, valued at $44.8bn, marks one of the most dramatic strategic pivots in Unilever’s modern history.

For years, speculation swirled about whether Unilever would ever part with the foods portfolio that shaped its identity for generations. But the company’s transformation into a pureplay home and personal care business has accelerated sharply — and this transaction is the clearest signal yet that the old boundaries of the FMCG world are dissolving.

Under the agreement, Unilever and its shareholders will receive 65% of the fully diluted equity in the combined company — equivalent to $29.1bn — alongside $15.7bn in cash to cover separation costs, reduce debt and fund a €6bn share buyback programme running through 2029. The deal is structured as a Reverse Morris Trust, designed to be tax‑free for Unilever and its shareholders.

For McCormick, this is a once‑in‑a‑generation leap. The spice and seasonings specialist gains enormous scale across sauces, condiments and meal solutions, plus a global footprint spanning retail and foodservice. The combined business will be headquartered in Hunt Valley, Maryland, with an international HQ in the Netherlands — a nod to Unilever Foods’ heritage.

For Unilever, the move completes a long‑running portfolio reset. Once the transaction closes — expected by mid‑2027, pending regulatory approvals — Unilever will emerge as a sharper, higher‑growth HPC company, focused on beauty, wellbeing, personal care and home care.

And for the industry? This is a seismic reshaping of the global flavour landscape. Retailers will feel the impact in category consolidation and innovation pipelines; suppliers will face a newly scaled customer with global reach; and competitors will be forced to rethink their own strategies in sauces, seasonings and meal solutions.

What was once unthinkable isn’t just happening — it’s happening at full scale, with billions behind it and a new flavour giant about to take shape.
