Nestlé spins out water business to accelerate premium growth

Nestlé’s decision to combine its waters and premium beverages business with global investment firm Platinum Equity in a new 50:50 joint venture, Peranel, represents one of the company’s most significant strategic portfolio moves in recent years.
Valued at €4.9 billion, the deal is designed to create a dedicated global player focused exclusively on water and premium hydration, with the flexibility to invest faster, innovate more effectively and pursue new growth opportunities.
For the wider food and drink manufacturing industry, however, the announcement raises a bigger question: are global manufacturers entering a new phase where specialist businesses outperform diversified divisions within multinational groups?
From portfolio management to category leadership
Nestlé is not exiting the water business. Quite the opposite.
By retaining a 50% stake, the company is signalling continued confidence in a category that has evolved far beyond traditional bottled water. Instead of competing internally for investment alongside coffee, confectionery, pet care and nutrition, the waters portfolio will become the sole focus of an independent organisation with its own leadership, investment priorities and growth strategy.
Peranel will bring together internationally recognised brands including S.Pellegrino, Perrier, Acqua Panna, Nestlé Pure Life and numerous regional water brands under one organisation headquartered in Paris.
The objective is to create a business with the agility of a specialist while retaining the scale and brand strength built under Nestlé.
Philipp Navratil, CEO of Nestlé, believes that focus will prove critical.
“By partnering with Platinum Equity, Peranel will be better positioned to execute its strategy with enhanced agility. Through additional focus, it will be well equipped to drive its long-term growth ambitions by strengthening this unique portfolio of international and local brands, with continued investments in innovation, premiumisation, operational excellence and sustainability.”
Those priorities reflect the realities of today’s beverage market, where premium positioning, innovation and sustainability increasingly determine competitive advantage.
Premium hydration becomes a strategic growth engine
Water has changed.
What was once viewed primarily as a volume business has become one of the most dynamic segments within global beverages.
Consumers are increasingly seeking products offering provenance, premium experiences, functional benefits and healthier alternatives to sugar-sweetened drinks. Hydration has become closely linked with wellness, active lifestyles and personalised nutrition, creating opportunities that extend well beyond traditional bottled water.
Peranel’s portfolio reflects this evolution, combining heritage mineral waters with premium hydration beverages and functional products aimed at increasingly sophisticated consumer demands.
For manufacturers across the sector, this reinforces the growing importance of premiumisation as a value creation strategy. Rather than competing purely on volume, businesses are investing in stronger brand identities, differentiated formulations and premium consumer experiences that justify higher margins.
Nestlé’s decision to establish a dedicated company suggests these opportunities now warrant independent strategic attention.
Innovation is driving the category forward
Perhaps the most revealing detail in Nestlé’s announcement is not the transaction value but the innovation pipeline behind it.
Peranel inherits an in-house research and development team responsible for approximately 120 product launches since 2022, alongside what Nestlé describes as a robust development pipeline.
That level of activity highlights how innovation has become central to the modern water category.
Today’s product development extends well beyond packaging redesigns or flavour extensions. Manufacturers are exploring functional hydration, natural ingredients, enhanced mineral compositions, sustainable packaging formats and premium brand experiences that appeal to evolving consumer expectations.
Innovation cycles are also becoming faster.
Dedicated organisations can often make investment decisions more quickly, respond faster to emerging trends and bring new concepts to market without navigating the competing priorities that exist within diversified multinational structures.
For suppliers of ingredients, processing technologies, packaging systems and manufacturing equipment, specialist businesses such as Peranel could become increasingly valuable innovation partners.
Private equity’s role is changing
The involvement of Platinum Equity is equally significant.
Private equity participation in food and beverage manufacturing has traditionally been viewed through the lens of financial restructuring. Increasingly, however, firms are positioning themselves as operational partners capable of accelerating business transformation.
With approximately US$48 billion in assets under management, Platinum Equity brings decades of experience supporting corporate carve-outs, operational improvements and strategic acquisitions.
Its expertise in establishing independent companies was highlighted by co-president Louis Samson.
“We bring unique energy and focus as well as business and operational expertise to the table. Combined with Nestlé’s and Peranel’s world-class product development, execution and marketing capabilities, our joint venture creates a powerful partnership and a very strong team.”
Managing director Igor Chacartegui also pointed towards future expansion beyond organic growth.
“We look forward to working alongside Nestlé, Muriel and her team to expand Peranel’s reach and support its continued organic growth. We’ll also bring our M&A capabilities to help build upon and sharpen Peranel’s existing portfolio.”
That final point may prove particularly significant.
With dedicated ownership, focused management and acquisition expertise, Peranel could emerge as an active consolidator within the premium hydration sector.
Operational focus creates competitive advantage
For manufacturers, one of the strongest arguments behind the new structure lies in operational focus.
Large diversified organisations naturally balance investment across numerous categories, manufacturing sites and strategic priorities.
Standalone businesses operate differently.
Management teams can devote their attention to category-specific challenges, whether that involves manufacturing efficiency, sustainability initiatives, packaging innovation, supply chain resilience or expanding premium product ranges.
Muriel Lienau, who will lead Peranel from its Paris headquarters, described the announcement as a defining moment for the organisation.
“This announcement marks an important milestone for our teams and an exciting new chapter in the evolution of our business.”
Leadership continuity combined with organisational independence may provide the stability needed to accelerate decision-making while maintaining the expertise developed within Nestlé.
A blueprint for future portfolio transformation?
Nestlé’s decision also reflects a broader trend emerging across the food and beverage industry.
Rather than simply expanding portfolios, major manufacturers are becoming increasingly selective about how businesses are organised.
Categories with distinctive consumer dynamics, innovation requirements and investment needs are being given greater strategic autonomy through spin-offs, partnerships and joint ventures.
The objective is not necessarily to reduce scale but to unlock it differently.
Focused businesses often gain the freedom to pursue acquisitions, develop category-specific innovation strategies and allocate capital without competing against unrelated divisions.
For suppliers throughout the manufacturing ecosystem, these specialist organisations may become faster-moving customers with clearer investment priorities and more targeted technology requirements.
Nestlé has chosen to give one of its most promising categories the independence, leadership and investment focus needed to compete in an increasingly premium, innovation-led market.
As consumer demand shifts towards healthier hydration, premium experiences and functional beverages, the companies best positioned to succeed may be those able to combine global scale with specialist agility.
